These terms outline your rights, responsibilities, and the conditions under which we provide professional accountancy, tax, and advisory services. Please read them carefully.
1. Engagement and Scope of Work
1.1 Upon confirmation of our appointment, we will provide you with a Letter of Engagement detailing the services agreed upon, including deadlines, fees, and scope.
1.2 These terms apply to all services provided unless otherwise stated in writing.
1.3 Any additional services requested outside the initial agreement may incur further charges and must be confirmed in writing.
2. Client Responsibilities
2.1 You are responsible for ensuring that all information and documentation provided to us is complete, accurate, and supplied in a timely manner.
2.2 You must retain original documents; we will only return or destroy documents upon request.
2.3 You are responsible for maintaining adequate accounting records and complying with your legal and tax obligations.
3. Fees and Payment Terms
3.1 Our fees are based on the complexity, scope, and time spent on your matter and will be detailed in our Letter of Engagement.
3.2 All invoices are payable within 14 days of the date issued unless otherwise agreed.
3.3 Late payments may incur interest at the statutory rate or 8% above the Bank of England base rate, whichever is higher.
3.4 We reserve the right to suspend or terminate services if payment is not received on time.
4. Confidentiality
4.1 We treat all client information with strict confidentiality and will not disclose any details without your explicit consent, except where required by law or regulatory authority.
4.2 We may engage third-party service providers (such as software or cloud platforms) in compliance with GDPR and our privacy policy.
5. Limitation of Liability
5.1 Our total liability (including our partners, employees, and subcontractors) for any claims shall not exceed the fees paid for the relevant service in the preceding 12 months.
5.2 We are not liable for any indirect or consequential loss, or loss of profit, business, or goodwill.
5.3 Nothing in these terms limits our liability for fraud, negligence, or any other matter for which liability cannot be legally excluded.
6. Intellectual Property Rights
6.1 All intellectual property created by us in the course of delivering services shall remain our property unless otherwise agreed.
6.2 You are granted a non-exclusive, non-transferable licence to use the work solely for internal business use.
7. Termination of Services
7.1 Either party may terminate the agreement by providing 30 days’ written notice.
7.2 We may terminate services immediately in the event of non-payment, breach of these terms, or misconduct.
7.3 Upon termination, all unpaid fees shall become immediately due. We will provide reasonable assistance to transfer your records, subject to outstanding balances being cleared.
8. Data Protection
8.1 We comply with the UK General Data Protection Regulation (UK GDPR) and Data Protection Act 2018.

8.3 We will not transfer your data outside the UK without adequate safeguards.
9. Anti-Money Laundering (AML) and Compliance
9.1 We are regulated by the Association of Chartered Certified Accountants (ACCA) and must comply with UK AML regulations.
9.2 You may be required to provide identity and address verification documents as part of our client due diligence.
9.3 We are legally obliged to report any suspicious activity to the appropriate authorities without prior notice.
10. Dispute Resolution
10.1 Any disputes will first be addressed through internal resolution procedures.
10.2 If unresolved, disputes may be referred to an independent mediator agreed upon by both parties.
10.3 These terms are governed by English law. The courts of England and Wales shall have exclusive jurisdiction over any disputes.
11. Amendments
11.1 We may update these Terms of Services from time to time to reflect changes in law, regulation, or our internal processes.
11.2 Clients will be notified of any significant changes, and the most current version will always be available on our website.
